Although Prompt Health provides software solutions and services to healthcare providers, the Site was not developed in order to share protected health information (“PHI”) (as such is defined by the Health Insurance Portability and Accountability Act of 1996, and as amended). Therefore, you agree not to disclose, upload, or transmit PHI when interacting with the Site. You assume all risk if you violate this Section 7, and you agree to indemnify Prompt Health and its affiliates and licensors for any such violation.
Any information, including but not limited to remarks, suggestions, ideas, graphics, or other submissions (collectively, “Feedback”), communicated to us through our Site is the exclusive property of us and/or our affiliates. You agree that we may, in our sole discretion, use the Feedback submitted for any purpose, without restriction (except as prohibited in our Privacy Policy), including in future modifications of the Site. Each of you and Prompt Health hereby waives any right to assert the doctrine of forum non conveniens or similar doctrine or theory or to object to venue with respect to any proceeding brought in accordance with this Section. No cause of action or claim you may have arising out of or relating to the Site or these Terms may be brought more than one (1) year after the cause of action has arisen.
To the fullest extent permitted by law, any dispute arising out of or relating to these Terms or your use of the Site shall be resolved by binding arbitration on an individual basis. You and Prompt Health waive the right to participate in a class action or class-wide arbitration. Nothing herein limits either party's right to seek equitable relief in a court of competent jurisdiction.
These Terms constitute the entire agreement between you and Prompt Health governing your use of the Site.
Our failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision. A waiver by us of any default will not constitute a waiver of any subsequent default. No waiver by us is effective unless it is communicated to you in writing.

If any of the provisions of the Terms are determined by any competent authority to be invalid, unlawful or unenforceable, such provision will to that extent be severed from the remaining Terms, which will continue to be valid and enforceable to the fullest extent permitted by law.
